ESTABLISHING OPERATIONS IN MEXICO
When establishing operations in Mexico, we can assist you in strategic

including helping you chose the type of business to be set up, prepare
articles of incorporation, internal bylaws, powers or attorney,
negotiations with Mexican authorities, labor unions, and negotiation of
all types of agreements and contracts.

Once we have concluded with stage one we will help you draft your
incorporation documents, assist you obtaining all required permits with
the Ministry of Foreign Affairs, draft your internal By-Laws, record
your company before the Public Registry of Commerce, issue stock
certificates and corporate ledgers, record your company before Federal
and State Tax Authorities, secure approval of any environmental
permits, and appear before the Ministry of Economy to file and obtain
any required permits.
As soon as the above is completed we will register your new company in
the Foreign Investment Registry, Municipal Authorities-land use
permit if applicable, Housing Authority, Mexican Institute of Social
Security, the System for the Savings on Retirement, and any sanitary
licenses.

We will negotiate all agreements including any inter-company agreements needed to file for a Maquila Permit or any applicable permits. A Commodatum Agreement may be suggested depending on the type of operation you want to establish in Mexico. This agreement should list all items that are imported into Mexico and will be subsequently registered with the Public Registry of Commerce. The Commodatum Agreement will protect your Mexican company against creditors and may not have a valid action against said listed items (machinery or equipment).
Our law firm will negotiate all labor matters including a collective labor agreements and/or individual labor agreements. We will help you register your company before the Mexican Institute of Social Security as an employer and will guide you to record at least one employee. Additionally we will provide you with information regarding any Federal and/or State Taxes that are applicable.
Contracts may have to be executed with several Mexican utilities companies. We will provide you with all information and assistance needed.

IMMIGRATION LAW
All foreigners conducting business activities in Mexico must have a
temporary business visa (FMN or FMVC) for 30 days, or a working visa
(FM3) for one year with a renewal option for additional years.
TRADEMARK REGISTRATION
We can assist you registering your trademark in Mexico and prepare
all proper documentation. We will appear before the corresponding
Mexican authorities and file and deliver your trademark registration.
